Description of the Used Equipment:
The description of the Used Equipment is based on the best information available to the responsible sales personnel of Seller. Seller, however, makes no warranty, express or implied, as to the description of any of the Used Equipment, except as expressly set forth otherwise in this agreement.
Condition of the Used Equipment:
The Equipment is delivered and sold to Buyer AS IS, WHERE IS, WITH ALL FAULTS. Seller makes no other warranty of any kind, express or implied. ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED BY SELLER AND EXCLUDED.
Delivery:
Unless otherwise specified, the purchase of Used Equipment will be shipped within two (2) business days of the receipt of payment as specified in the payment terms set forth in this agreement. Shipping fees shall be the sole responsibility of the Buyer.
Title and Risk of Loss:
The risk of loss and the right of possession shall pass to Buyer upon execution of this Agreement. Title will pass to Buyer immediately upon payment of the Purchase Price to Seller. Seller covenants with Buyer that it is the true and lawful owner of said Used Equipment and possesses the right to sell and transfer good and marketable title thereto, and that said Used Equipment is free of any and all liens, security interests, charges, or encumbrances whatsoever. This is the Seller?s sole warranty.
Buyer Responsibility:
From and after the Effective Date of this Agreement, Buyer assumes the entire responsibility for compliance with all laws, ordinances and governmental regulations affecting the installation, operation, use, possession or disposition of the Equipment, and Buyer is solely responsible for all sales or other taxes, duties, license fees or charges of whatever nature assessed upon or related to the sale, transportation, use, ownership, insurance, possession, maintenance, repair, replacement or disposition of the Equipment in this transaction.
